Welcome to the Exoceuticals resale partner network. These rules establish expectations for approved wholesale buyers and help protect product integrity, customer experience, and authorized partners.

1. Approved Sales Channels

You may sell Exoceuticals products directly to end consumers only through:

• Your business’s own website, approved by Exoceuticals.
• Your business’s own physical retail, spa, clinic, or practice locations, approved by Exoceuticals.

Approval applies only to the business, website domains, and physical locations identified in your wholesale account. Additional websites or locations require written approval before sales begin.

Wholesale approval does not grant exclusive rights to a territory or sales channel.

2. No Marketplace Listings or Sales

You may not list, offer, or sell Exoceuticals products on any third-party marketplace, auction site, resale platform, or social commerce storefront.

Prohibited channels include Amazon, Walmart Marketplace, eBay, TikTok Shop, Facebook Marketplace, Etsy, and any other third-party marketplace.

This restriction applies even if the marketplace storefront uses your business name or you fulfill the orders yourself. You may not supply products to another person or business for sale through these channels.

An approved website operated by your business using an ecommerce platform such as Shopify is permitted. A storefront or listing within a third-party marketplace is not.

3. Minimum Advertised Price (MAP)

Exoceuticals’ minimum advertised price is 70% of the current published Manufacturer’s Suggested Retail Price (MSRP). Authorized wholesale partners may not advertise Exoceuticals products at discounts greater than 30% off MSRP.

For example, a product with a $100 MSRP may not be advertised below $70.

This policy applies to public-facing advertising, including website product pages, search and shopping ads, social media, promotional emails and text messages, affiliate advertising, and printed promotional materials.

Advertised coupon codes, automatic discounts, subscription offers, and combined promotions must not communicate an effective advertised price below MAP. Exoceuticals products must be excluded from advertised sitewide promotions that would bring their advertised price below MAP.

Publicly advertised bundles, gifts with purchase, and loyalty offers may not be used to communicate or disguise a product price below MAP. Exoceuticals will provide written guidance on how these offers are evaluated.

This policy governs advertised prices only. Each wholesale partner independently determines its actual resale prices. Prices shown solely in a private checkout, individual price quotations, and in-store selling prices are outside this MAP policy unless used in public-facing advertising.

Exoceuticals independently establishes and administers this policy. Partners are not asked to agree to a minimum resale price. Exoceuticals may suspend future wholesale orders or discontinue a wholesale relationship for MAP violations, subject to applicable law.

Any Exoceuticals-authorized MAP exception will be communicated in writing with the applicable products and promotion dates.

4. Advertising Is Permitted

You may run paid search, display, and social media advertising promoting Exoceuticals products sold through your approved channels.

Advertisements must:

• Direct customers to your approved website or promote purchases at your approved physical location.
• Follow Exoceuticals’ Minimum Advertised Price policy.
• Clearly identify your business as the seller.
• Use current, accurate product information and Exoceuticals-approved brand assets and claims.
• Avoid implying that your business is Exoceuticals’ official website, corporate account, or exclusive distributor.

Social media posts and advertisements may link to your approved website. Product listings or checkout within a marketplace or social commerce storefront are prohibited.

You are responsible for compliance by any agency, affiliate, influencer, or other party advertising on your behalf.

5. No Redistribution or Diversion

Wholesale purchases are for direct retail sale to end consumers. You may not resell, transfer for resale, or supply products to other retailers, wholesalers, distributors, marketplace sellers, or unauthorized businesses.

You may not use another account or intermediary to bypass these rules. Orders that reasonably appear intended for unauthorized resale should be referred to Exoceuticals before fulfillment.

6. Product Integrity and Brand Representation

Sell products in their original, unaltered packaging. Do not remove or obscure batch codes, expiration information, labels, or other product identifiers.

Follow Exoceuticals’ storage and handling instructions. Do not sell expired products, testers, samples, or products designated “not for resale.”

Use only supported product claims consistent with Exoceuticals’ current approved materials. Do not claim that products treat or cure diseases, are FDA-approved, or guarantee results.

7. Compliance and Account Status

Exoceuticals may review product listings, promotions, advertisements, and sales channels to assess compliance and may request relevant supporting information.

Violations may result in a request to correct or remove an advertisement or listing, suspension of future wholesale orders, or termination of authorized partner status, subject to applicable law and the governing wholesale terms. Serious or repeated violations, including marketplace sales or diversion, may result in immediate suspension.

MAP administration concerns advertised prices only and does not require partners to change their independently determined actual resale prices.

After termination, you must stop representing your business as an authorized Exoceuticals partner. Any handling of remaining inventory will be governed by your wholesale agreement and applicable law. Termination does not authorize marketplace liquidation.

8. Questions and Policy Updates

Submit questions about sales channels, advertising, or promotions to your Exoceuticals wholesale contact before launching an activity that may fall outside these rules.

Exoceuticals will communicate policy changes in writing, including their effective date. Do not assume that an exception or promotion offered by another seller applies to your account.
